Terms of Service

Welcome to Social.sol (”Social.sol,” “we,” “our,” or “us”). These Terms of Service (”Terms”) form a legally binding agreement between you and Social.sol governing your access to and use of the Social.sol mobile application, website, APIs, SDKs, documentation, and any other software or services we provide (collectively, the “Services”), including your interactions with the Social Protocol (the “**Protocol””), an open-source, decentralized social network deployed on the Solana blockchain.

Blockchain Is Public & Irreversible

By design, all on-chain activity is permanently recorded on a publicly accessible ledger. We cannot edit, hide, or delete any data you or others publish to Solana. Please think carefully before posting.

By creating or importing a wallet, submitting any on-chain transaction, or otherwise using our Services, you confirm that you have read, understood, and agree to be bound by these Terms and by our Privacy Policy (collectively, the “Agreement”). If you do not accept the Agreement, do not use the Services.


1. Definitions

Term

The combination of your non-custodial wallet address(es) and any optional off-chain profile data you provide through the Services.

Any text, code, image, audio, video, data, or other material provided through the Services, including User Content and Social.sol Content.

Tokens

Any cryptographic tokens (e.g., SOL, SOCIAL, ad-claim rewards) supported by the Protocol.

User Content

Content that you, or another user, make available through the Services or the Protocol.

Social.sol Content

Content that we make available (excluding User Content and open-source components).


2. Eligibility & Authority

You may use the Services only if you:

  1. Are at least 13 years old (or the minimum age of legal capacity in your jurisdiction) and, if under 18, have parental/guardian consent;

  2. Have full power and authority to enter into this Agreement;

  3. Are not subject to any sanctions, embargoes, or other export restrictions issued by the United States or applicable jurisdictions;

  4. Are not barred from using blockchain or internet services under any applicable law.

If you are using the Services on behalf of an entity, you represent that you have legal authority to bind that entity to this Agreement.


3. Changes to the Agreement

We may modify these Terms or our Privacy Policy at any time. Material changes will be announced at least 7 days in advance via in-app notice, the website, or both. Continued use after the effective date constitutes acceptance.


4. Overview of Services & Protocol

  • Front-End Interface. Social.sol is a client application that lets you interact with the Protocol. We do not take custody of your funds or private keys.

  • Protocol Autonomy. The Protocol is open source and may be accessed through multiple front-ends. We cannot unilaterally change or censor on-chain data.

  • Beta & Experimental Features. Parts of the Services are experimental. We may add, modify, suspend, or remove beta features at any time without liability or data-port guarantees. (See §17.)


5. Wallets, Accounts & Security

  • You must connect a Solana-compatible wallet to access core features. Keep your seed phrase and private keys secure. We cannot recover them for you.

  • Gas & Network Fees. You are responsible for paying all blockchain transaction fees incurred.

  • Third-Party Wallet & Extension Disclaimer. Wallet software, browser extensions, and hardware devices are independent services. We are not responsible for any loss arising from their performance, security, or terms.

  • You accept full responsibility for activities that occur under your wallet address, including unauthorized transactions resulting from loss or compromise of your credentials.


6. Tokens, Rewards & Financial Disclaimers

  1. Ad-Claim & Epoch Rewards. Certain Protocol mechanics allow you to claim tokens directly. All reward calculations and distributions are performed by smart contracts; we do not guarantee amounts or availability.

  2. Token Disclaimer. Protocol Tokens are not equity, securities, dividends, or rights to revenue, and there is no expectation of profit derived solely from the efforts of others.

  3. No Investment, Legal, Tax, or Health Advice. Information presented through the Services is for general informational purposes only. Consult qualified professionals before making decisions.

  4. No Broker or Exchange. Social.sol is not registered as or operating as a broker-dealer, investment adviser, money-services business, or virtual-asset service provider.

  5. Tax Responsibility. You are solely responsible for reporting and paying any taxes arising from your token activity.


7. Fees & Payment Terms

  • Service Fees. We currently charge no platform fee; however, we reserve the right to introduce or modify fees with 14 days’ notice.

  • Third-Party Charges. Your mobile network provider or wallet provider may impose additional fees; we are not liable for such fees.


8. License to Use the Services

We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for lawful purposes in accordance with this Agreement.


9. User Content & On-Chain Publishing

9.1 Ownership

You retain any intellectual-property rights in User Content you submit. Publishing Content on-chain, however, makes it permanently and publicly accessible.

9.2 License to Social.sol

You grant Social.sol a worldwide, non-exclusive, royalty-free license to host, reproduce, display, adapt, and translate User Content solely to operate, promote, and improve the Services.

9.3 License to the Public

Because blockchain data is public, you grant every person an irrevocable, perpetual, royalty-free license to access, use, copy, analyze, and create derivative works from your on-chain Content.


10. Community Guidelines & Moderation Appeals

You agree to follow our Community Guidelines, which prohibit harassment, hate speech, child exploitation, excessive spam, and illegal content. While we cannot remove on-chain data, we may:

  • Hide or blur content in the Social.sol UI;

  • Delist offending accounts from discovery tools;

  • Rate-limit, throttle, or geo-block front-end access.

If you believe your content was moderated in error, email [email protected] within 30 days and include (a) your wallet address and (b) a brief explanation. We will review appeals in good faith.


11. DMCA & Repeat-Infringer Policy

We respect intellectual-property rights and comply with the Digital Millennium Copyright Act (”DMCA”). If you believe content accessible via the Social.sol front-end infringes your copyright, submit a DMCA Notice to [email protected] with the required elements under 17 U.S.C. §512(c)(3). We will expeditiously disable access to the allegedly infringing material in our UI and notify the user. We maintain a policy to disable or restrict repeat infringers from the front-end.

Important: Takedown actions apply only to the Social.sol UI. The underlying on-chain data remains publicly accessible.


12. Open-Source Contribution License

By submitting code, documentation, or other materials to any Social.sol GitHub repository or other collaboration platform (a “Contribution”), you agree that your Contribution is licensed under the Apache License 2.0 unless stated otherwise, and you grant Social.sol the right to relicense or sublicense the Contribution as needed for Protocol compatibility.


13. Security Bug-Bounty Safe Harbor

We welcome responsible disclosure. If you discover a vulnerability:

  1. Email [email protected] with actionable details;

  2. Provide a reasonable time for us to investigate (minimum 48 hours) before public disclosure;

  3. Do not exploit the vulnerability for personal gain or to harm others.

Researchers who adhere to these guidelines will not be subject to legal action under anti-hacking laws. Eligible disclosures may qualify for a bounty under our posted program terms.


14. User Obligations & Prohibited Conduct

You must not:

  1. Violate any applicable law or regulation;

  2. Post or transmit content that is unlawful, defamatory, hateful, harassing, obscene, or infringes intellectual-property rights;

  3. Engage in market manipulation, wash trading, or deceptive schemes involving Tokens;

  4. Spam or deploy Sybil attacks, bots, or scripts that degrade network performance;

  5. Exploit, probe, or scan the Services or Protocol for vulnerabilities without authorization;

  6. Misrepresent your identity or affiliation;

  7. Use the Services to facilitate money laundering, terrorist financing, or other illicit financial activity.

We may suspend, throttle, or geo-block your access to the front-end if you violate these rules. We cannot remove your on-chain data.


15. Beta & Experimental Features Waiver

Features labeled “Beta,” “Labs,” or similar are experimental and may be changed, interrupted, or discontinued at any time without prior notice. We provide no guarantees regarding data portability, uptime, or functionality of beta features.


16. Service Availability & SLA Disclaimer

The Services are provided without any service-level agreement (SLA). Outages, validator halts, network congestion, or RPC failures are expected risks. We do not guarantee continuous, uninterrupted access to the Services or the Protocol.

You may request deletion of off-chain data tied to your email by contacting [email protected]. On-chain data cannot be deleted.


18. Risk Disclosures & Bug-Induced Loss Cap

  1. Volatility. Cryptographic tokens are highly volatile; you may lose value.

  2. Regulatory Uncertainty. Blockchain technology is subject to evolving laws. New regulations may affect the Services or Tokens.

  3. Technical Risk. Smart contracts may contain bugs. Any loss caused by smart-contract bugs, exploits, or Protocol forks is your sole risk and is expressly excluded from our liability (§24).

  4. Network Congestion. High network demand may delay or fail transactions.

  5. Counterparty & Phishing Risk. We do not verify identities on-chain. Always double-check addresses and URLs.

You acknowledge and accept these risks.


19. Security

We implement industry-standard safeguards for off-chain data but cannot guarantee absolute security. You must implement reasonable security measures for your devices and wallets.


20. Disclaimer of Warranties & No Professional Advice

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND THAT THE SERVICES WILL BE ERROR-FREE OR UNINTERRUPTED.

Nothing in the Services constitutes legal, financial, tax, health, or other professional advice. Always seek advice from qualified professionals.


21. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SOCIAL.SOL AND ITS AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS of PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR RELATED TO THE SERVICES, EVEN IF ADVISED OF SUCH DAMAGES. OUR AGGREGATE LIABILITY SHALL NOT EXCEED ONE HUNDRED U.S. DOLLARS (US$100).


22. Indemnification

You agree to defend, indemnify, and hold harmless Social.sol, its affiliates, officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses (including attorneys’ fees) arising from:

  • Your use or misuse of the Services;

  • Your User Content;

  • Your violation of the Agreement; or

  • Your violation of any law or third-party right.


23. Compliance, Export Controls & Sanctions

You may not use, export, or re-export the Services in violation of U.S. export laws or regulations or other applicable sanctions regimes. We reserve the right to geo-block or restrict access to comply with regulatory obligations.


24. Termination & Suspension

We may suspend or terminate your access to the Services at any time, with or without notice, for conduct that we believe violates the Agreement or is otherwise harmful. You may cease using the Services at any time. Blockchain data persists indefinitely.


25. Survival & Interpretation

Sections relating to ownership, licenses, disclaimers, limitation of liability, indemnification, dispute resolution, survival, and interpretation survive termination of this Agreement. Headings are for convenience only and do not affect interpretation.


26. Governing Law & Dispute Resolution

These Terms are governed by the laws of the State of California, USA, without regard to conflict-of-laws rules.

26.1 Informal Resolution

Before filing a claim, you agree to contact us at [email protected] and attempt to resolve the dispute informally within 30 days.

26.2 Binding Arbitration & Class-Action Waiver

If unresolved, any dispute arising under the Agreement shall be finally settled by binding arbitration administered by JAMS in San Francisco, California, in English, under the JAMS Comprehensive Arbitration Rules. You and Social.sol waive any right to a jury trial or to participate in a class action.


27. Translations & Local Variations

These Terms are drafted in English. Any translated version is provided for convenience only. The English version controls to the extent of any conflict. Mandatory consumer-protection laws of your jurisdiction may apply where they cannot be waived.


28. Force Majeure (Expanded)

We are not liable for failure or delay in performance caused by circumstances beyond our reasonable control, including but not limited to natural disasters, governmental action, labor disputes, acts of war or terrorism, telecommunications or power interruptions, major Protocol exploits, layer-1 chain forks, validator outages, or network-wide congestion.


29. Entire Agreement & Severability

The Agreement constitutes the entire agreement between you and Social.sol regarding the Services and supersedes prior agreements. If any provision is deemed unenforceable, the remaining provisions will remain in full force.
